These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, automations, integrations and other digital products and services (together, the "Services") provided by Terglos LLC ("Terglos", "we", "us" or "our"), a company organized in the United States. By accessing or using the Services you agree to these Terms.
1. Acceptance of these Terms
By creating an account, downloading or installing one of our applications, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.
2. Who may use the Services
- You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
- The Services are not directed to children under the age of 13 (or the minimum age required in your country), and we do not knowingly collect their data.
- If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. Accounts
Some features require an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. The Services we provide
Terglos designs and builds premium digital products, including e-commerce platforms, artificial-intelligence features, workflow automations, system integrations and native mobile applications for iOS and Android. The specific scope, deliverables and fees of any engagement are defined in a separate written agreement, order form or statement of work, which prevails over these Terms in case of conflict for that engagement.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, infringing, fraudulent or harmful purpose.
- Attempt to gain unauthorized access to, interfere with, or disrupt the Services or related systems.
- Reverse engineer, decompile or attempt to extract source code, except where permitted by law.
- Upload malware, or content that is illegal, defamatory, or violates the rights of others.
- Use the Services to violate the policies of any app store or third-party platform (including Apple, Google or Meta).
6. AI-powered features
Certain features use artificial intelligence and machine-learning models. AI outputs may be inaccurate, incomplete or unsuitable for a particular purpose, and should be reviewed by a human before being relied upon. You are responsible for how you use AI outputs, and you must not submit content you are not authorized to share. We do not provide professional (legal, financial, medical or similar) advice through AI features.
7. Intellectual property
The Services, including software, design, text, graphics and the Terglos name and logo, are owned by Terglos or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You retain ownership of content you submit, and grant us the license necessary to operate and provide the Services.
8. App stores and platform terms
When you obtain an application through a third-party app store, the following also applies:
Apple App Store
- These Terms are between you and Terglos only, not with Apple. Apple is not responsible for the application or its content.
- Your license to use the app is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms and Apple's standard Licensed Application End User License Agreement (EULA).
- Apple has no obligation to provide maintenance or support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Google Play
- Your use of apps downloaded from Google Play is also subject to the Google Play Terms of Service and Developer policies.
Meta platforms
- If a Service uses Meta technologies (such as Facebook Login, Meta APIs or the Meta Pixel), your use is also subject to Meta's applicable terms, and data handling is described in our Privacy Policy.
9. Third-party services
The Services may integrate with or link to third-party products (for example payment processors, marketplaces, analytics, cloud hosting, Apple, Google and Meta). We are not responsible for third-party services, and your use of them is governed by their own terms.
10. Fees and payment
Where the Services are paid, fees, billing cycles and taxes are set out in the applicable order form or in-app purchase flow. Purchases made through an app store are processed by that store and subject to its refund policy.
11. Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, secure or error-free.
12. Limitation of liability
To the maximum extent permitted by law, Terglos and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Terglos harmless from any claims, damages and expenses arising out of your misuse of the Services or your violation of these Terms or applicable law.
14. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or where required by law. Provisions that by their nature should survive termination will do so.
15. Governing law
These Terms are governed by the laws of the State of Florida and the applicable laws of the United States, without regard to conflict-of-law rules. The state and federal courts located in Pinellas County, Florida will have exclusive jurisdiction, except where prohibited by law. Mandatory consumer-protection rights in your country of residence are not affected.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Services or by other reasonable means. Continued use after changes take effect constitutes acceptance.
